TERMS OF CONTRACT
 
 
1.                    Unless and until payment in full for all the goods has been received by the Seller in accordance  with the terms of the Contract, the ownership of the goods shall not pass to the Buyer but shall remain with the Seller who reserves the right to dispose of the goods. If such payment is overdue in whole or in part the Seller may recover or resell the goods or any of them and may by their servants or agents enter upon the Buyer’s premises for that purpose. Such payment shall become due immediately upon the commencement of any act or proceedings in which the Buyer’s solvency is involved.
 
                Upon such sale the Seller will apply the proceeds of sale as follows:
 
q                   In reduction or diminution of the unpaid purchase price of all the goods, the subject of this contract, and the
                                                cost of recovering and reselling the goods.
 
q                   By way of set off against any loss or damages which the Seller may have sustained by reason of any breach by
the Buyer of the terms of this contract.
 
q                   The balance to the Buyers.
 
                These rights are duties of the Seller in relation to the goods and the proceeds of sale will continue notwithstanding the termination of the contract by reason of the Buyer’s breach for any other reason.
 
2.                    Unless and until payment in full for all the goods sold pursuant to this contract has been received by the Seller, any other goods manufactured out of such goods or into which such goods are incorporated will be and remain in the sole and absolute ownership of the Seller who may recover or sell the goods or any of them and may by their servants or agents enter upon the Buyer’s premises for that purpose.
                Upon the sale the Seller will apply the proceeds of sale as quoted above.
                These rights and duties of the Seller in relation to the goods and the proceeds of sale will continue notwithstanding the termination of the contract by reason of the Buyer’s breach for any other reason.
 
3.                    Notwithstanding that payment in full has not been made by the Buyer to the Seller, the Buyer may unless the Seller has
                previously recovered or resold the goods in accordance with paragraph 1 or paragraph 2 hereof, sell the goods sold
                pursuant to this contract or any other goods manufactured out of such goods or into which such goods have been incorporated.
                Such sale shall be effected by the Buyer as agent for and on behalf of the Seller and the Buyer shall account strictly to the
                Seller for such proportion of the proceeds of sale thereby realised as shall be necessary to satisfy the unpaid purchase price
                of the goods sold pursuant to this contract.
 
4.                    Without prejudice and subject to the Buyer’s right to sell and deliver to a said purchaser pursuant to Clause 3 hereof, the Buyer shall retain possession of the goods sold pursuant to this contract or any other goods manufactured out of such goods or into which such goods have been incorporated as bailee of the Seller and such bailment shall continue unless and until payment in full is received by the Seller for the goods sold pursuant to this contract and any other goods manufactured out of such goods or into which such goods are incorporated.
 
5.                    A minimum carriage charge will be incurred on all orders.
 
6.                    Every endeavour will be made to deliver the correct quantity ordered, but estimates are conditional on margins of 3% for work in one colour only and 10% for other work being allowed for overs or shortage. Orders for exact quantities are subject to €25.00 charge
 
7.                    Any damages or shortages must be notified by you to Classic Marketing Limited within three days.
 
9.             Delivery dates are approximate only and whilst every effort will be made to meet such dates the Company cannot accept
                responsibility for any delays, however incurred.
 
10.                 Classic Marketing Limited reserve the right to alter specifications or change materials when necessary, prices are subject to change without notice.
